con|cess M+A Partner is a partnership of independent M&A advisers specialising in the sale of small and medium-sized enterprises (SMEs) in Germany, Austria, Switzerland and Poland. The sale of the personnel consultancy Entenmann Consulting to two management buy-in (MBI) investors from The People Finding Company was supported as part of a sell-side mandate. con|cess M+A Partner needed a secure, intuitive data room to ensure a highly transparent, professionally managed deal. The focus was on structuring all finance, operations and HR data in line with the buy-side due diligence index, and on documenting all access and changes in an audit-proof manner throughout the entire process. For the seller, the owner of the personnel consultancy and its employees, it was especially important to hand the company and its established customer base over to good hands and to safeguard business continuity. Drooms served as the central platform for the structured collection, organisation and provision of all transaction-relevant information, giving both parties the assurance that the process would be fully traceable from preparation through to signing.

Structured and secure transaction management

As part of the Entenmann Consulting deal, two MBI investors acquired an established personnel consultancy with the clear objective of expanding the location further. After an initial marketing phase and bilateral discussions between buy-side and sell-side, con|cess M+A Partner began vendor preparation and set up the data room.

“The buyer provided us with a detailed due diligence index, which we used as the basis for the data room structure,” Lange says. “At that point, we did not yet know that the index could be uploaded directly – a very useful feature, by the way – so we created the structure manually and uploaded all documents. That was also a good double-check for us.” The next step was to upload the annual financial statements, management accounts, employee lists, customer information and a complete inventory, so that the data set reflected the specifics of an asset deal and a ‘transfer of the business as a whole’.

Transparency, risk reduction and post-deal documentation

During due diligence, the index was expanded whenever additional information requests came from the buy-side, and the folder structure was adjusted accordingly. Access was extended to the MBI investors, their legal and tax advisers, and other reviewing parties, all working in the same data room. Through Drooms’ reporting functions, con|cess M+A Partner Sebastian Lange and his team can track exactly when and how intensively individual users engaged with the documents – an important indicator of deal readiness and negotiation scope, as well as a reliable documentation basis for the period after closing.

To ensure maximum transparency and long-term reliable documentation, both MBIs, the seller and Sebastian Lange each received a USB stick containing the complete documentation package, clearly structured by index and document type. “This means no party can later claim not to have known certain information – if anything had genuinely been missing, that would primarily have been to the seller’s detriment and could have been reflected in the purchase price, although that was not necessary in this case,” Lange adds.
